What are the risks?

Most startups fail. Only invest what you can afford to lose. If Karfu doesn’t ‘exit’ (i.e. IPO or acquired by another firm), you won’t get your money back and you won’t make a profit. If Karfu grows slowly, you might be waiting a long time for a return. Don’t invest any money that you might need suddenly in an emergency.

What does Karfu mean by ‘Mobility’?
Karfu defines Mobility as any technologies, products and services that enable people and goods to move around more freely.

It is our belief that, in future, people will start from a position of understanding their total mobility needs in the first instance, before deciding on what vehicle and access type might best suit their requirements.
Why are you crowdfunding?
We have received many requests from people who would like to invest smaller amounts in Karfu. We don’t believe investing in a start-up should be a privilege for only a handful of people.

We want to build a community of people who want help saving money on their vehicle and mobility choices and, where possible based on their requirements, find more sustainable solutions to their transport needs.

We have partnered with Crowdcube to allow equity investment in Karfu for a variety of different investors of all shapes and sizes.

What is Crowdcube

What is an equity investment?
Most investments (including this funding round for Karfu) are for Ordinary Shares, giving you voting and pre-emption rights on those shares, but you should check the share class on the pitch as this can vary. In most cases (and in Karfu's), your shares will be held for you by Crowdcube Nominees Limited. Learn what a nominee is and does. If Karfu is a success and is eventually bought by another company or goes public at a higher value than it was when you first invested, you’ll get a return on your investment. However, the opposite is also true. If Karfu fails, you may lose some, or all, of your investment.

Investing in startups and early-stage businesses is long term and high risk. The majority of startups fail or do not deliver shareholders a return on their investment. Liquidity, or the ability to cash in your investment, is limited as it typically relies on the company being sold or going public. In addition, dividend payments are rare and the likelihood of your percentage shareholding being diluted by future fundraising is high.

So it’s important to diversify your investment portfolio by spreading your money across multiple investments and asset types. While you cannot eliminate all types of risk, this will help cushion your losses if some of your investments fail.
Does pre-registering commit me to investing?
No. You will pledge your investment on Crowdcube during the live crowdfunding campaign and wait to see if Karfu hits our funding target.

If Karfu’s pitch fails to reach its funding target within the time allowed it will either receive an extension, this decision is made at Crowdcube's discretion, or it will be cancelled. In the event an equity pitch is cancelled, no payments will be taken from investors, nor will any fees be charged to the business.
When will the campaign go live?
Karfu are targeting the campaign to go live in March 2023.
Who can invest?
To invest on Crowdcube, you need to be over 18 years old and legally entitled to invest. You’ll also need to be a resident of the UK or a country where you may legally receive financial promotions of the nature provided. If you’re not sure whether you can invest through Crowdcube in your country, you should seek legal advice before making an account.

Crowdcube can’t advertise investment opportunities to those living in the United States, Canada, Japan or any other country where it would be unlawful for their pitches to be advertised. Please don’t register with Crowdcube if you are a resident in these countries.

When creating your Crowdcube account, make sure you create it in your own name, as they can’t accept joint investments. You’ll also be asked to choose an investor type (such as everyday or professional) and complete a quick questionnaire. This is to ensure you understand the high-risk nature of investing in startups and early-stage businesses. If you receive independent advice, you don’t have to fill out the questionnaire. These investor types won’t apply to all other platforms.
Will there be early access?
Yes - Karfu are planning for 1 week of early access to invest for pre-registered users. This will start on Thursday the 16th of March 2023.
How much can I invest?
Investors have the option to invest in Karfu from £12, but this will be rounded to the closest multiple of the share price.

For example, if a share price is £3.10, the minimum investment in that pitch will be £12.40. You will be prompted with the minimum investment amount in the particular pitch, or the closest multiple of the share price when making an investment.

The maximum amount you can invest will be dictated by the total size of Karfu’s crowdfunding investment round, including any overfunding amount.
Can I sell my shares?
In the future, you can express your interest to sell your shares in a company with Cubex, Crowdcube’s secondary marketplace. If there’s enough interest in Karfu, Crowdcube will seek to facilitate a transaction.

If a sale is possible, a price will be set and communicated to you ahead of any transaction, along with materials to help you assess whether it is a fair price. You’ll then have a chance to decide whether you still want to sell your shares.

Can I transfer my shares?
Whether you can transfer and the mechanism depends on each company’s Articles of Association (‘Articles’) and the class of shares you hold. It is therefore important to understand the class of shares you will receive (see the Pitch page when live) and to read the company’s Articles before confirming your investment. Most crowdfunded companies are private and early stage so there is a risk that you may not be able to sell your shares due to a lack of liquidity.

A company’s Articles often require that shareholders wishing to transfer shares offer them to existing shareholders first (pre-emption). The pre-emption procedure may vary between companies so if in doubt, read the Articles and contact the company that you have invested in. Crowdcube customer support will be happy to help if you have any further questions.

If a company chooses to adopt the Crowdcube Articles for two classes of share, A Ordinary Shares carry pre-emption rights, whereas B Investment Shares do not. This means that if a holder of A Ordinary Shares wants to transfer their shares, they must first offer them to the other holders of A Ordinary Shares. B Investment Shares are freely transferable which means a holder of B Investment Shares may transfer his or her shares without first complying with the pre-emption procedure, as long as that holder wishes transfer all of their shares to a single third party.

What benefits do I get as a shareholder?
The Enterprise Investment Scheme (EIS) and Seed Enterprise Investment Scheme (SEIS) are UK government schemes designed to help smaller higher-risk trading companies raise finance, by offering a range of tax relief to investors who purchase new shares in those companies.

EIS tax relief will be available to qualifying investors for this investment into Karfu.
What happens after I invest?
If you choose to invest and Karfu reaches our target and closes to further funding, Crowdcube will email you their legal review of Karfu and give you the details of the cooling-off period – a period of around seven days in which you can review your investment before it becomes final. Once the cooling-off period has expired, Crowdcube will take the payment for your investment and then send you your digital share certificates, and any tax relief certificates.

You can then stay updated with Karfu, and vote on any key decisions, through your account.
